Terms of Service

Effective November 4, 2026

Service provider: Bear Art LLC, doing business as Arterial Fine Art Handlers ("Arterial," "we," or "us"), a trade name filed in Idaho.

Business mailing address: 784 S. Clearwater Loop, Ste R, Post Falls, ID 83854.

1. Booking and Agreement

These terms apply to the services identified in a written proposal accepted by both Arterial and the client. Arterial will provide these terms before acceptance. A website inquiry or estimate request does not, by itself, confirm a booking.

The accepted proposal identifies the work, price or billing basis, and any project-specific conditions. Applicable law controls over conflicting contract language. A project-specific exception to these terms must be expressly agreed in writing. Any transportation documents must be read together with that agreement, subject to mandatory transportation law.

2. Project Planning and Changes

Arterial provides fine art handling, packing, installation, and interstate transportation as described in each accepted proposal. Arterial performs its transportation services directly and does not use third-party carriers. Arterial does not currently offer storage services; joining a storage interest list does not reserve space or create a storage agreement.

Arterial performs only the work included in the accepted proposal. Related tasks, such as removing existing hardware, repairing walls, unpacking, or disposing of materials, should be identified before work begins. Clients must provide accurate item dimensions, weights, values, locations, access conditions, and handling requirements so that Arterial can plan and price the work. Estimates assume the information provided is accurate and complete.

If additional work becomes necessary, we will explain the proposed change and obtain written authorization for its cost before proceeding. We may pause affected work if authorization is unavailable. Scheduling changes depend on crew and equipment availability; we will communicate material delays and coordinate revised arrangements with the client.

3. Artwork and Installation Instructions

The client must have authority to commission the work and approve decisions about the artwork. Before service, the client must identify fragile components, unstable frames, unusual materials, sensitive finishes, environmental requirements, and any restrictions imposed by an owner, artist, lender, conservator, or venue.

For installation, the client or an authorized representative must approve placement and disclose known wall, ceiling, structural, or concealed-utility concerns. Unless separately contracted with a qualified professional, Arterial does not provide engineering certification, conservation treatment, authentication, or appraisal services. We may stop work where conditions appear unsafe or require specialist advice.

The client must arrange permission to enter and work at the site. Arterial will not leave artwork unattended without an expressly agreed delivery arrangement.

4. General Liability and Artwork Insurance

Arterial maintains general liability insurance, subject to the applicable policy's terms, limits, conditions, and exclusions. This does not represent a promise of full-value artwork insurance, and clients should not rely on Arterial's general liability coverage as a substitute for their own artwork insurance.

Clients are responsible for arranging and maintaining their own insurance for the full value of each artwork throughout the contracted work. Clients should confirm with their insurer that coverage applies to the relevant activities, including packing, unpacking, handling, installation, loading, unloading, and transit, from removal at origin through final placement at destination, as applicable.

Upon request, Arterial can assist with introductions to a licensed insurance professional and supply project information for additional coverage inquiries. Any additional insurance is subject to the provider's approval, terms, and charges and must be confirmed by the insurer or its authorized representative before the relevant work begins. Arterial does not bind coverage or guarantee claim payment. Unless otherwise agreed in writing, the client pays any additional premium.

Giving Arterial an artwork value does not purchase insurance. The client's insurance obligations do not waive claims against Arterial or eliminate responsibility imposed on Arterial by applicable law.

5. Invoicing and Payment

Arterial does not require a standard percentage deposit for every job. For projects requiring custom crates, supplies, special-order materials, or other significant advance expenditures, Arterial may require an advance payment agreed in writing before making those commitments. The proposal will identify the amount, what it covers, and when it is due. Advance payments are credited against the final invoice. Any unused balance, after authorized charges and applicable cancellation charges, will be refunded.

Except for agreed advance payments or another written billing arrangement, Arterial issues invoices upon completion of the contracted work. Payment is due in full within 30 calendar days of the invoice date (Net 30). An unpaid balance becomes overdue on the following day.

Arterial accepts credit card payments through Stripe, Zelle, and bank transfer using the instructions provided on the invoice. These terms do not impose an additional credit card processing surcharge. Confirm any unexpected change to payment instructions with your established Arterial contact before sending funds.

Overdue, undisputed principal balances may accrue simple interest at 12% per year (equivalent to 1% per month), or the maximum rate permitted by applicable law, whichever is lower. Interest begins the day after the due date, is prorated daily using a 365-day year, and does not compound. Arterial may waive or reduce interest at its discretion. This provision applies only to bookings for which these terms were disclosed and accepted in advance; it is not imposed retroactively on existing invoices.

Please promptly identify any disputed charge in writing so that the parties can work toward resolution. Undisputed amounts remain payable when due. Arterial will not assess interest on an amount subject to a good-faith dispute while it is being reviewed. If an amount is confirmed payable through written agreement or a binding determination, the applicable payment date and any interest will follow that resolution and applicable law.

After written notice of an overdue, undisputed balance and a reasonable opportunity to resolve it, Arterial may decline new bookings or suspend work not yet begun, subject to applicable law and existing contractual obligations. This provision does not authorize withholding artwork or interrupting a shipment already in progress.

6. Cancellations and Rescheduling

Send cancellation or rescheduling requests in writing as soon as possible. Notice is measured from receipt of the request to the start of the arrival window most recently confirmed by both parties, using the service location's local time. If no arrival window has been confirmed, the percentage-based charges below do not apply.

For a client cancellation, the maximum scheduling charge is calculated on the agreed labor and transportation charges for the affected, unperformed portion of the booking, excluding taxes, separately billed materials, and work already completed:

Notice before the confirmed arrival window Maximum scheduling charge
72 hours or more No scheduling charge
At least 48 hours but less than 72 hours Up to 50%
At least 24 hours but less than 48 hours Up to 75%
Less than 24 hours, including a no-show or inability to provide agreed access upon arrival Up to 100%

These percentages are ceilings, not automatic penalties. Any scheduling charge will be limited to reasonable, documented net loss resulting from the cancellation, taking account of avoided costs, recoverable commitments, and replacement work obtained for the reserved time. Arterial will make reasonable efforts to reduce that loss and provide an itemized explanation on request.

Completed, authorized work and previously approved, nonreturnable custom materials remain payable at the agreed price, but no cost or loss will be charged twice. Returnable or reusable supplies will not be billed as a complete loss. Any advance payment will be applied to amounts properly due, with the remainder refunded.

Rescheduling is subject to availability. For a client-requested change within 72 hours, a charge may apply to otherwise unrecoverable disruption of the original booking, subject to the same ceilings and net-loss calculation above. The rescheduled work will be quoted or confirmed separately; cancellation and rescheduling charges will not both be assessed for the same lost booking. An agreed minor timing adjustment that causes no loss will not incur a scheduling charge.

Arterial may reduce or waive charges for emergencies. If severe weather, road closures, government restrictions, or another event beyond either party's reasonable control prevents safe performance, the parties will coordinate a revised schedule without a percentage-based scheduling charge. Completed work and specifically approved, nonrecoverable materials will be accounted for separately.

If Arterial cannot complete a job, we will discuss revised arrangements and account for completed work and any payments received. An interruption does not automatically entitle Arterial to payment for unperformed work.

7. Condition Records and Concerns

When condition documentation is part of the job, Arterial may take photographs and record observable concerns to support the work. Such records are not conservation assessments or assurances that hidden defects are absent.

Please notify Arterial in writing promptly after discovering suspected loss or damage. Include the job reference, affected item, photographs if available, and a description of the concern. Preserve relevant packaging and records and, where safe, allow inspection before repair or disposal. Necessary steps to prevent further damage should be documented.

A request for prompt notice does not create a seven-day forfeiture or shorten a legally protected claim period. Formal claim requirements and deadlines are governed by applicable law and any valid project agreement. Arterial will reasonably cooperate in documenting and investigating a reported incident.

8. Responsibility for Loss

Insurance coverage and legal liability are separate matters. The requirement that clients maintain artwork insurance does not waive their claims or their insurers' recovery rights against Arterial.

Responsibility for loss or damage will be determined under applicable law and any enforceable project-specific agreement. Any proposed limitation of liability must be reviewed for the particular services and transportation arrangements and expressly agreed before work begins. Nothing here excludes liability or remedies that cannot lawfully be excluded.

9. Client Information and Photography

Arterial will use client contact details, project records, and site information to plan and deliver the work, maintain business records, and meet legal obligations. Necessary information may be shared with service providers participating in the job, subject to appropriate confidentiality arrangements.

Permission to photograph artwork for condition documentation does not authorize promotional use. Arterial will obtain separate permission before using identifiable client projects, private interiors, or artwork photographs in marketing, and will respect applicable third-party rights.

10. Disputes, Contact, and Updates

The parties should first try to resolve concerns through their designated project contacts. This does not prevent a timely claim or access to remedies required by law.

These terms are governed by Idaho law to the extent it is not preempted by applicable federal law. Disputes may be brought before a court with jurisdiction as permitted by applicable law. Nothing in these terms restricts a venue or remedy that cannot lawfully be restricted, including applicable federal transportation rights. These terms do not require arbitration.
